Information on Setting Up a Business

Going about setting up a business is not as difficult as it may seem. There are a few basic requirements you need falling into the categories of business structure, registration with government authorities, and permits/licenses.

The first issue to decide for setting up a business is structure. Structure means the form of the business, and you can either have a sole proprietorship, partnership, limited liability company (LLC), or corporation. Keep in mind that there is no “correct” answer, and your business structure can change as your business changes. A sole proprietorship is the easiest way to get started; it simply means that the individual is operating the business. The main disadvantage (when setting up a business) of a sole proprietorship is liability. Your businesses liabilities are your personal liabilities, and therefore your personal assets are also susceptible to claim if your business owes money. The main advantage is simplicity in creation, and in taxation.

Partnerships are similar to sole proprietorship and taxation. The key thing to remember about partnerships is to have partnership agreements in place. These are written documentations explaining what will happen if a person decides to leave the partnership, how the profit is split up, and other contingencies about various business scenarios.

A corporation is a pseudo-person who represents the business. The corporation is headed by a board of directors, and responsible to shareholders. Corporations are governed by the state in which they are created, and there are more complex laws regarding reporting and taxation. You will likely need some expert or lawyer to help you get started with a corporation. For small businesses, an S-Corp is a popular choice as it is a simple form of corporation and profit and loss is passed to the owners.

An LLC is a hybrid between a partnership and corporation. Liability is limited, but administration is not as complex as a corporation. Likely, businesses needing liability protection will choose between an S-Corp and LLC. The decision mostly comes down to which is more beneficial for tax purposes, and your taxation situation will vary depending on the state in which you live.

The key point regarding liability is that if you have an LLC or corporation, you want to run your business separate from your personal life. If you mix accounts; if you take personal expenses as corporate expenses, and generally mix your actions so that you are running the corporation not as a director, but as your own personal business, you may be endangering your protection. When you act or sign, consider that your actions are on behalf of the corporation, and as a representative of shareholders. This is why liability board meetings, meeting notes, and so on have value as they formalize the actions of the corporation.

Registration with the Government Employer Identification Number (EIN) and State Registration.

If you have employees, or are an LLC or corporation, if you have a Keogh you may need an EIN. The IRS has a web page that can help you determine this, accessible here: http://www.irs.gov/businesses/small/article/0,,id=97872,00.html

If you determine that you need an EIN, you can apply for one online.

You may also need to register with your secretary of state. For example, in California, a corporation will file an SI-200 statement giving information about the corporation. Look on your state’s website and simply type in business registration to get started.

City and County Registration.

A similar answer applies for county or city registration. Start with your cities website, and the county requirements should be listed there as well. In general, you will need a business license and you will need to show that the business operates in an allowable premise. For the county level, you will need to file a DBA and post an advertisement in a local newspaper for sixty days announcing your business.

If you are selling goods or leasing, you will likely need a sellers permit or resale permit. For example, the state of California requires a permit if you “Intend to sell or lease tangible personal property that would ordinarily be subject to sales tax if sold at retail (this includes wholesalers, manufactures and retailers.)”

Financial Matters

If you have all of the above, legally, you are ready to operate the business. You should, however, get a business checking account, and also a business credit card. Even if you are a sole proprietorship, you should make sure your business expenses and income are coming into a single account for tracking. A business credit card will also give you details about your classifications of expenditures, not to mention the nifty bonus rewards with some credit cards these days.

Finally, you should either consider hiring an accountant, a bookkeeper, or investing in some accounting software and on a weekly basis (no less), tracking all your income and expenses. This will help greatly while filing your taxes.

These steps are a basic outline of what you need for setting up a business: legal structure, permits, and administrative capabilities.

This is also a good idea just in case you get stuck or if you have any problems, you’ll have someone to help you out. Be careful though; there are scams, so please research the program you are interested in thoroughly before you go ahead and purchase it.

The last online business idea for beginners I have is to come up with an online marketing strategy. You will need to have some sort of strategy no matter what type of online business you’ll be creating. Whether it be affiliate marketing, MLM, or selling your own products online, you will need to make a strategy on how to attract potential customers to see your products. After all, what is a business without customers? Remember that in order for your business to be successful you will need to market it properly and to the right audience. You can find much more information about good marketing strategies just by doing a quick Google search.

In summary, these three ideas can be helpful in your online business endeavors. There are so many opportunities available to you, make sure you research the different programs, make sure they offer training and support, and they can help you devise a fail-proof internet marketing strategy. If you do that you’ll be well on your way to success!

We see ourselves in the mirror each and every morning while we brush our teeth, maybe you look yourself in the eyes, maybe you don’t bother, but this just happens to be an intense little private moment for me, so I’m using it as an example here. We have three children in the house, and my wife and I share a bathroom, so I don’t get many of these throughout the day. This is my moment I use to challenge myself each morning. I take this opportunity to look myself directly in the eyes and make an internal pact with the soul inside that today I will be better than yesterday, and I will inspire one person in a positive way. This is the part where you might be wondering just what this has to do with being a business leader. When one stops and really thinks on what it means to build a business, you are building relationships! They are one in the same, and the sooner you accept that, the sooner you can get down to the real work of building something special.

Business on every level must be carried out from a central point, a singularity (for all you cosmologists). That point is the company mission, the sole reason the company exists in the first place. Like most endeavors, these organizations begin with a unifying idea, a belief or core value that brings people together under a single banner. I mentioned this in another article once, but if you go onto the website for any major corporation, company, or organization there will be a link you can follow, probably labeled ABOUT US, or something like it. There you will find their core reason for existing, or mission statement. Not once will you find one that says, “To make money and get rich.” Although there is much to be said about turning a profit and making some sort of living out of the business you started, if that is the driving force behind it then do not expect it to gain momentum and longevity. In fact, it probably won’t last the year.

Without a Core Value you will not be sustainable and you cannot inspire others to your cause or mindset. People will not take you seriously and you will begin to take on a reputation of the slimy used car salesman and people will begin to avoid all things connected to you and your brand. Remember, people aren’t stupid. They want to be surrounded by individuals who teach, share, give value, and inspire; sometimes this is as simple as being just plain honest. In a world in which integrity and character are just words in a book and not reality, inspiration has fast become the new drug, and everyone craves it.

If you’re reading this article, you’re most likely already thinking about business ideas for 2011. Most of the articles you’ll see on the Internet about this subject will talk about trends in the business world, what consumers want and what’s happening with the economy. All of that is important, but you might want to consider two other things too. Together they make up something we call the e-center.

But, first a little history on how the whole concept of the e-center came about.

We asked our most highly successful clients what made their first business a success. They identified these seven traits:

Passion
Hard work
Perseverance
Persistence
Not accepting, “I can’t”
Listening to your customers
Connecting with others

First on the list was passion, but that’s not enough by itself to be successful. There are plenty of people wandering the streets who are passionate about something, yet no one is giving them any money for that passion.

There are actually three key ingredients to finding that sweet spot in the market where making money becomes effortless: Your Entrepreneurial Abilities, Your Emotional Charge, and the Economics of Your Marketplace. We touched on that in the last chapter.

When you find that sweet spot where all three intersect, you can focus on that spot as the core competency of your business. There, you’ll be able to find that your work days feel like play while the money rolls in. It’s only when you forget one of those three key ingredients that your business will feel like drudgery or that you are always struggling for money.

Finding Your e-Center

Your Entrepreneurial Abilities: What can you do best in the world?

First, what is it that you do that you do extraordinarily well? Or, what is something that you could be phenomenal at with some practice and training? In Good to Great, author Jim Collins referred to this entrepreneurial quality as being the “best in the world.” That’s probably the best definition that there is.

What do you, and your company, do that is best in the world? Where do your unique talents and abilities lie? What are the things that you do, or your company does, that others notice as extraordinary and different from the average, run of the mill accomplishments?

That’s it, plain and simple. Don’t be afraid. You’re not asking for criticism or negative feedback. We predict you’ll be astounded by the positive results.

As the responses come back, look at them. What resonates for you? What is it that you and your business do that could make you the best in the world?

Your Emotional Charge: What are you passionate about?

Now, look at what you’re passionate about. It’s okay if it’s something wildly different from the items in your Entrepreneurial Abilities circle. Passion isn’t a mild, “I like doing this.” Passion is jumping out of bed, alive every morning, excited to be doing the work you’re doing. Passion is knowing that what you do is important to you and to others as well.

Have you ever had a day where you worked really hard, yet you had more energy at the end of the day than you did when you started? That’s the type of passion that we’re talking about. What is it that gives you that kind of fire? What are you passionate about?

Your Economic Marketplace: What do your customers want and need?

There are books on the marketplace that will tell you that if you simply do what you love, you’ll get rich. The problem with that is, no matter how much you love it, if you can’t convince your prospective customers that you can give them something they want or need, nobody’s going to buy it.

It’s possible to create marketing campaigns that build demand for something brand new. For example, who knew you would need a Pet Rock?, until Gary Dahl told us about them in 1975? Or for that matter, who had even heard of an iPod? or the concept of one, prior to 2001?

In both cases, though, there was a human need or want that was just waiting to be fulfilled.

The easiest way to sell something is to offer a solution for something that people already know they need or want. In other words, you don’t have to spend as much money building the demand. You may have to work at getting the word out about your product or service, but at least you don’t have to explain to people why they need your solution.

Find the spot where your Entrepreneurial Abilities, Emotional Charge, and Economic Marketplace intersect.

That’s the Sweet Spot of your business. When you can focus on what you do best, what you love to do and what your customer wants, you have a wining formula for business ideas for 2011 and beyond.

One of the major issues you need to pay attention to once you transition from college to a job is your business contacts.

Once settled in your job, you will come across a lot of people whether inside your own organization or outside. It is customary for business people nowadays to have business cards that capture the important information about themselves.

A business card of a business contact will contain:

- His name

- His company name

- His role in the company

- His contact information like telephone and email

- His address

- And some people include their company’s mission or vision statements on their business cards.

I advise you to have a business card. Do not accept not having one in your organization. If your company, which I doubt it, does not provide you with cards then go out and do them yourself. There are thousands of places where you can do this nicely and cheaply. The bottom line is you must have them no matter what.

Your business card will be like a mini brochure about yourself that you can give to another business contact to keep in touch.

The next time you attend a company meeting or function whether internally or externally, make sure to meet new people. You should have a goal actually to know at least 2 or 3 new people. Make it a habit to ask your new business contact for his or her card. More often than not he will ask you back for yours.

Once you take a business card from someone, do not hurry to hide it in your pocket or wallet. Instead grab it in your hand and read it thoroughly. If your business contact does not ask for your card during or after you read his, offer him yours by saying, “And this is mine” while extending one of your business cards to him.

It is considered rude sometimes to take a business card and not read it.

Now here is the interesting thing, this small piece of cartoon contains a wealth of information to keep a conversation alive with your business contact.

From the address on the card you would know where he or she is living, in which country and city. So you can ask him or her about the city he or she lives in? About living there? Its weather and tourist places for example.

From the position in the company, you can ask about the role in the company and what he or she specifically does. You get the idea, be creative, try to come up with as many topics to talk about from the information you see on the card as possible. I will tell you now about something important you need to do. After you and your business contact separate, you need to capture essential information about the contact on the back of the card.

So once you separate, flip the card and write the following:

- Where you met

- Anything interesting you discussed

- Any promises made (You might have promised to send some documentation about a product you sell or a story you read or whatever)

- Any personal information, like for example your business contact might have mentioned that he or she has two sons or that he or she likes a certain restaurant

- Any features that would remind you of him or her again, like if he has a black beard or if she has wide eyes

You get the idea, try to capture as much information as you can on the back of the business card itself. You might be thinking that the business card is too small to capture all this information, but believe me when I say that you can put all the above and more, I have done it myself many times.

The reason why you should write this information on the back of the business card is that leaving it to memory will not be a good strategy as you might forget or mix the conversations of two business contacts.

In summary, these are some of the important tips you need to keep in mind when you come across a business contact. First, do not forget to have your business cards. Keep a load of them with you, in your jacket, in the car, in the office, in the house. Always make sure that you have your business cards with you wherever you go. They will help perform the above drill and open a conversation with someone. They are the mark of a sophisticated networker. Remember always to read the business card of a business contact the moment he hands it to you. Make it a habit to capture the important information you come to know about the business contact on the back of the business card.

Larger companies have many servers that have different technical roles. For the sake of an example let’s pretend “some big company” has larger companies such as fortune 500 or fortune 100 companies have many servers that do different things. Examples are:

Multiple Domain controllers / file sharing role Multiple SQL / databases Multiple Exchange servers And so forth…

Let’s pretend that this organization has 50 servers and each one has its own role to do something specific for the computer network. In theory this would mean that this company has 50 separate physical nodes setup in a computer room to control the computers for this company. In today’s world this would be consolidated using computer virtualization but that is getting off topic so I’m not going to get into that in this article and will discuss virtualization in another article later on.

Now let’s pretend you are a small business owner and you need to share files, share a database and share calendars or whatever other roles you may want or need.

This means you would have 3 physical servers and 3 different server operating systems.

Now with a Microsoft Small Business Server Operating System you get 1 computer server that has multiple roles built into 1 nice neat package. So you can have that file server and that database server and an exchange server all combined into 1 neat little package. This saves the small business owner money.

Microsoft states the SBS – small business server will support up to 75 computer users / workstation computers. In theory it will but in the real world if you have 75 computers connected to a SBS server you can expect very poor performance.

From my experience I will say that Microsoft SBS servers are pretty cool IF they are properly configured with the right hardware and software. I have seen many small businesses have an SBS server that were NEVER configured correctly or are just being used as a simple file server. In such a case the SBS server isn’t necessary and is a waste of money for the business owner.

So without getting into technical details this concludes what a Microsoft Small Business Server does.

If you are thinking about purchasing a new server for your business get to know a computer consultant and find out if a Small Business Server will benefit your organization.

As you can see, PR can be frugal, provided it is done together with SEO. And looks like this combination of PR+SEO has great chances to become a new trend on the market of public relations.
